The Screenvision Corner Stories 2019 Contest ("Contest" or "Promotion') is open only to small business owners (individually an "Entrant"; collectively, the "Entrants") who are legal U.S. residents at least twenty-one (21) years of age at time of entry. Entrant's small business (the "Company") must be a legal entity organized and in good standing pursuant to the laws of any U.S. state and currently doing business in the United States and must meet the definition of a small business as defined by the U.S. Small Business Administration (www.sba.gov) and its size standards by industry (www.sba.gov/size-standards).**
In submitting an entry (as per Rule 2 below), Entrant represents and warrants that he/she has any and all requisite authority from the Company to enter the Contest and that the Company has no policy which would prevent it from accepting a Finalist Prize or the Grand Prize if Entrant's Submission (defined in Rule 2 below) is selected as a Finalist or the Grand Prize Winner.
Employees of Screenvision Direct, Inc. ("Sponsor") and its parents, affiliates, subsidiaries, franchisees, advertising and promotion agencies (including the judging panel) ("Promotion Entities"), and their immediate family members and/or those living in the same household of each, whether related or not, are not eligible to enter the Contest or for their Company to be selected as a Finalist.
Sponsor reserves the right to verify the eligibility of an Entrant, including without limitation the status of his/her Company as a small business as defined by the U.S. Small Business Administration and/or the accuracy of any statement in the corresponding Company Story (defined in Rule 2 below) regarding the Company.
Entrant's Company is not required to have an existing business relationship with Sponsor or to advertise with Sponsor in order to enter the Contest; and, any such relationship or advertising with Sponsor will not enhance a given Entrant's/Company's chances of winning a Finalist Prize or the Grand Prize in the Contest.

2. HOW TO ENTER:
Contest begins on April 26, 2019 at 12:00:00 A.M. Eastern Time (ET) and ends May 27, 2019 at 11:59:59 P.M. ET ("Promotion Period”). To enter, visit https://SVCornerStories.com during the Promotion Period and follow the instructions to submit your entry online.
You may also begin the entry process via text message by texting the keyword "Story" to the short code 56864. You will receive a return text message that contains a URL link to the Contest website. For the avoidance of doubt, sending a text message alone will not result in entry.
To initiate Contest entry via text, you must have a mobile phone with 2-way messaging capabilities. By entering, Entrant (for Entrant and/or on behalf of Entrant's Company) consents to receive a return text message from Sponsor related to this Promotion. For help, text "HELP" to the short code provided; to cease receiving messages, text "STOP" to the short code. Text messaging and data rates may apply to each message sent or received. (Such charges may apply regardless of whether individual is successful in using text message functionality to access the Contest website and thereafter enter the Promotion). Check your mobile plan for rates/details. Participation via text may not be possible on some carriers or in certain areas.
Once on the entry landing page, Entrants will be required to provide their name, email address, daytime phone number, and Company name and address (this address will be utilized to determine the Company’s local market area if Entrant is determined to be the winner as per Rule 5 below). Entrants will also be required to attest to the Company meeting the U.S. Small Business Administration definition of a small business and to their compliance with and agreement to these Official Rules, and to abide by and be bound by the decisions of the Contest Judges (as defined in Rule 5 below).
In addition, Entrant will be required to submit, in the space indicated in the online entry form, in 250 words or less, an explanation of why the Company’s unique story would merit it being featured on movie screens to movie-going audiences (the "Company Story"). The above entry requirements (together, the "Submission") must be completed in full to constitute an eligible Contest entry.
By entering, Entrant (for him/herself personally as well as on behalf of his/her Company) (a) grants to Sponsor and its agents (including the Contest Judges) the non-exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sublicenseable right and license to use the Company Story for purposes of administration and promotion of the Contest, without consideration or further notice or approval of any kind; and (b) represents and warrants that Entrant, if applicable, has obtained consents from any and all persons/entities as necessary so as to provide the preceding grant of rights to Sponsor and, accordingly, that Sponsor's use of the Company Story as set forth herein will not violate the rights of any third party. Entrant agrees, upon Sponsor's request and without compensation, to sign and return any additional consents so as to confirm the preceding grant of rights and accompanying representation and warranty. (The preceding includes without limitation the Entrant, upon Sponsor's request and without compensation, securing a similar grant of rights from any other persons involved in the creation of Company Story.)
Entrant may also be requested by Sponsor or the Contest Judges to submit certain other information or materials applicable to the Company; formats and deadline for these materials (if requested) will be specified at the time of the request. It is the sole responsibility of Entrant to redact such materials so that they do not contain any confidential information or trade secrets, prior to forwarding same to Sponsor/Contest Judges. In addition, Entrant may be requested by Sponsor or the Contest Judges to submit material establishing the consent of third parties referenced/identified in the Company Story. Should Entrant fail to timely provide such materials or if such materials are determined by Sponsor and/or the Contest Judges in their sole discretion to be incomplete or otherwise inadequate in any respect, the underlying Company Story will not be considered a valid entry.
3. RESTRICTIONS ON ENTRY:
There is a limit of one (1) Company Story and one (1) Submission per Company. More than one individual can assist in the creation of a Company's Company Story. BUT: only one (1) individual may function as the Entrant for a Company and enter that Company's Company Story as a Submission in the Contest. Sponsor and its agencies will only liaise with such Entrant as to Contest participation. Violation of the preceding entry limit may result in disqualification of all Submissions for Company (as well as disqualification of Entrant).
Receipt of Submission may be acknowledged by Sponsor. In all cases, any such acknowledgment does not constitute any representation as to eligibility of Entrant/Company/Submission or their selection as a potential finalist in the Contest. Proof of sending Submission does not constitute proof of receipt of same or proof of entry in the Contest.
Once an entry has been submitted, the Company Story cannot be supplemented, modified or amended (except for the request by Sponsor or the Contest Judges for additional information or materials, as per Rule 2 above).
Use of automated or programmed means of participation in the Contest is prohibited and will result in automatic disqualification of Entrant and corresponding Company.
4. RESTRICTIONS ON ENTRY CONTENT OF COMPANY STORY:
To be valid, a Company Story:
(a) Must be relevant to the theme of the Contest as to why the uniqueness of Entrant's Company warrants its feature on movie screens in Sponsor’s Corner Stories program;
(b) Must be truthful in all respects (do not exaggerate or embellish what makes your Company unique and/or its contribution to the community/communities);
(c) Must be original and not copied from any other source
(d) Must not include any content that violates the intellectual property or other rights of any third party (including, but not limited to, trademark, copyright, right of publicity, right of privacy, patent, defamation, libel);
(e) Must not be inappropriate, offensive or otherwise unfit for publication (e.g., no profanity or hate speech);
(f) Must not advocate or encourage alcohol or drug use, acts of violence or illegal activity of any kind;
(g) Must not disparage or adversely affect the goodwill or business reputation of Sponsor.
5. JUDGES and JUDGING CRITERIA:
On or about June 3, 2019, Submissions will be judged by a Sponsor-designated panel of judges (the "Contest Judges"), consisting of Sponsor staff and outside advisory panel of business professionals selected by Sponsor.
The Contest Judges will select up to five (5) potential winning Companies from the Submissions (each a “Finalist”; collectively, the “Finalists”) based on the overall assessment among the Contest Judges on the following criteria and the respective weights given to each ("Judging Criteria"):
1. Uniqueness of Company Story, for example, with regard to its creation, structure, or product/service it offers: 60%
2. The Company’s positive impact on its customers or community: 30%
3. The effectiveness of the manner in which the Company Story is presented: 10%
The Contest Judges will take into account the underlying businesses of Companies.
6. NOTIFICATION OF FINALISTS:
Finalists will be contacted by Sponsor or Sponsor's designee via e-mail or telephone, and will be required to review, sign and return an Affidavit of Eligibility, Release of Liability, Prize Acceptance Form and, where legally permissible, a Publicity Release within four (4) days of attempted delivery of same. The foregoing will be binding upon both the Entrant personally and his/her Company. If such documents are not returned within the specified time period, prize notification is returned as undeliverable, Sponsor/Sponsor's designee is unable to contact the selected Finalist or the selected Finalist and/or his/her Company is not in compliance with these Official Rules, an alternate Finalist will be selected in the manner set forth above.
Each of the Finalists will be mentioned in a Corner Stories campaign to air on Sponsor’s network during July 2019 (exact dates TBD). Such mentions may include information, visuals, photos, names and trademarks of Finalists and Finalist’s Company and employees, as solely determined by Sponsor.
One (1) winner (“Grand Prize Winner”) will be selected from among the Finalists‡ and awarded a prize (the “Grand Prize”) consisting of the Company being the subject of Sponsor's "Corner Stories" news program to begin airing in early September, 2019 ("Video") on Sponsor’s national network for a period of approximately thirty (30) days. Also includes a Company feature on Sponsor’s Corner Stories podcast. Sponsor, in its sole and absolute discretion, may choose to air the Company feature on Sponsor's network in the Grand Prize Winner’s local market, online and/or in social media. Should Sponsor elect to proceed, Sponsor shall control any and all aspects of such additional airing, including the media and content of the Company feature. However, should Sponsor refrain from doing so for any reason, Sponsor shall have no liability to Grand Prize Winner under any legal theory.
‡Such selection will be based on the criteria utilized to select the Finalists as per Rule 5 above, but may also include a public voting element: the selection procedure will be determined by Sponsor in its sole discretion. In no event, however, will public voting alone be used to determine the Grand Prize Winner from among the Finalists.
The mentions of the Finalists and the Grand Prize Video have no retail value, and no royalty, payment, consideration or other compensation will be provided to winning Entrant's Company (and/or to winning Entrant) in conjunction therewith.
Finalist Entrants agree to fully cooperate with Sponsor relative to the creation/production of any materials, including the Grand Prize Video (the “Promotion Materials”), responding to inquiries in a forthright and truthful manner as well as providing any additional information and materials upon Sponsor's request. Finalist Entrants further agree to use commercially reasonable efforts to assist Sponsor in obtaining similar cooperation from other employees/officers/directors of Finalist Entrant’s Company.
As between Sponsor and Finalist Entrants’ Companies, Sponsor shall own all rights to Promotional Materials and Video, including the copyright therein; and, upon Sponsor's request and without compensation, Finalist Entrants (or another authorized representative of Finalist Entrant's Company) agrees to sign any required documents so as to confirm, perfect or record Sponsor's ownership rights in Promotion Materials and Video. Sponsor shall have complete creative control as to all aspects of content and production of all Promotion Materials and Video, with Finalist Entrants and their Companies having no right of review or approval of Promotion Materials or Video. Without limiting the foregoing, Sponsor shall determine in its sole discretion the number of times that any Promotion Materials and/or Video are aired on Sponsor’s national network or podcast, any re-airing of Promotion Materials and/or Video alone or in conjunction with other works, and the information regarding a Finalist Entrant’s Company that is disclosed in Promotion Materials and/or Video. Video or any other Promotion Materials will NOT reproduce or replicate winning Entrant's Submission; rather, Sponsor will create original material based on the content included in such Submission, with such content being supplemented, analyzed, critiqued or otherwise addressed by Sponsor . No prize substitution or prize transfer allowed.
8. RELEASES AND LIMITATION OF LIABILITY: By participating in this Contest, Entrant (for him/herself personally as well as on behalf of his/her Company) agrees to release and hold harmless Sponsor, its marketing agencies, and their respective parents, affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising/public relations/promotional/prize fulfillment agencies, and each of their respective officers, directors, employees, shareholders, representatives, successors, assigns and agents ("Released Parties"), from and against any claim or cause of action arising out of participation in the Contest (including but not limited to the grant of rights to Sponsor to use the Submission) and use of Promotion Materials and Video.
Where lawful, by accepting the Finalist Prize and/or Grand Prize, Entrant (for him/herself personally as well as on behalf of his/her Company) agrees to Sponsor's use of Finalist Entrant’s and Grand Prize Winner's name, Company name and logos, trademarks, copyrights and business address and other publicly available information regarding winning Company for advertising and trade purposes in connection with the Contest (including on a winners’ list) without consideration, approval or notice.
The Released Parties are not responsible for, and Entrant hereby releases Sponsor and the Released Parties from any claims or causes of action arising from: (1) incorrect or inaccurate transcription of entry information, Winner verification information, or lost, stolen, illegible, incomplete, misdirected entries; (2) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer, network, hardware or software.
9. GENERAL TERMS:
If, for any reason, the Contest is not capable of running as planned, Sponsor may, in its sole discretion, disqualify and not judge any suspect entries and modify, terminate or suspend the Contest and make the prizes available to be won in a manner to be determined by Sponsor in its sole discretion to be fair, appropriate and consistent with the spirit of these Official Rules. Such notification will be made on SVCornerStories.com. Sponsor reserves the right, in its sole discretion, to disqualify any Entrant/Company if it finds such Entrant to be attempting to tamper with or to be acting in violation of these Official Rules. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
10. DISPUTE RESOLUTION/CHOICE OF LAW:
To the fullest extent permitted by law, Entrant (for him/herself personally as well as on behalf of his/her Company) agrees that
(a) any and all disputes regarding this Contest (including but not limited to these Official Rules) shall be resolved pursuant to the laws of New York State, without regard to principles of conflict of laws;
(b) any such dispute shall only be brought exclusively in the U.S. Federal or New York State court located in New York County, New York, with Entrant (for him/herself personally as well as on behalf of his/her Company) agreeing to the personal and exclusive jurisdiction of such courts and waiving any right of change of venue or forum non conveniens;
(c) any such action shall be brought individually (and not as part of a class action); and
(d) the recovery of Entrant/Company shall be limited to actual out-of-pocket costs involved in participating in the Contest (if any), with all other damages/forms of recovery (including attorneys' fees) being expressly waived.
